Purpose
Charter clauses
Preserve bounded autonomy
Keep judgment with the company or initiative closest to the work unless a shared dependency, resource conflict, or portfolio-level risk creates a genuine coordination point.
Make the seam visible
Record the dependency, the decision it creates, the affected workstreams, and the consequence of delay before adding governance.
Name the right and the owner
Every coordination point identifies who decides, who contributes, who executes, and where unresolved conflict escalates.
Use proportionate cadence
Choose a review rhythm that matches the volatility and consequence of the dependency; close coordination work when ownership and review responsibility are explicit.
Record the rationale
A governance record preserves the condition, the decision, the accountable owner, the rationale, and the event that would reopen the matter.
Revise when the condition changes
Authority, cadence, and allocation logic are reconsidered when the underlying dependency, constraint, or portfolio risk materially changes.
Decision-rights framework
Use the least governance that makes the seam legible. The framework distinguishes a local decision from a shared dependency, resource conflict, or portfolio-level risk.

- The dependency, conflict, ambiguity, or risk requiring a decision.
- Decision
- The right exercised and the choice or constraint recorded.
- Accountable owner
- The role responsible for the decision and its review posture.
- Contributors
- The workstreams whose context must be present before a decision.
- Cadence
- The recurring review or event that brings the matter back into view.
- Superseding condition
- The change that reopens, transfers, or closes the coordination matter.
